The move underscores the firm&#8217;s expanded corporate presence across Asia, which includes their recent office openings in Jakarta and Australia.  Mr. McLean, who has been with A&amp;O since 1988 and a partner since 1996.  He had previously worked at the firm&#8217; Hong Kong office and focuses his practice on M&amp;A, asset financing, outsourcing transactions, joint ventures and corporate recovery work.  More recently, Mr. McLean served as US counsel to the international underwriters for the Agricultural Bank of China, the work&#8217;s largest IPO.</p>
<p>Sheppard Mullin has added Jenny Liu, previously with DLA Piper&#8217;s Beijing office, as Special Counsel at their Shanghai office. This appointment follows the recent hire of Partner Don Williams, formerly with Wilson Sonsini, to their growing Shanghai corporate practice.  Having worked in Beijing for many years, Ms. Liu&#8217;s appointment brings Sheppard&#8217;s sole Asia office an expanded network in China, in addition to her experience representing Chinese emerging companies on a variety of licensing, employment, corporate restructuring and acquisition matters.</p>

The new office will include Weiheng Chen, recently hired from Milbank, who has been named as the Co-head of Wilson Sonsini&#8217;s China practice.  Mr. Chen will work in collaboration with the firm&#8217;s current head of China, Carmen Chang, in opening the office in the coming months.  The expansion into Hong Kong is due to the volume of Chinese cross-border transactions and the move of many US client operations of China, said Wilson Sonsini CEO Steve Bochner.</p>
<p>Minter Ellison has officially opened its third office in Greater China, with the recent opening of its Beijing office.  Minter which has had offices in Hong Kong since the early 1980s and a Shanghai office since 1999, will focus it&#8217;s Beijing practice on outbound M&amp;A and inbound and outbound investment opportunities.  The team in Beijing will include partner Sam Farrands, as well as lawyers Tim Knowles, Andrew Thomson and Kevin Zhou.</p>

Japan’s economy grew only 0.4%- substantially less than expected. China’s economy, on the other hand is reported to be worth $1.33 trillion, replacing Japan as the second largest economy in the world. Although China was forecasted to be an economic superpower in the near future, Monday’s figures are the proverbial “proof in the pudding”. Japan has been regarded by the World Bank as the second biggest economy for more than thirty years. Based on Japan’s economic growth in the 1980’s, many economists predicted that Japan would surpass the United States and become the largest economy in the world. But, based on the last decade of rather stagnant economic growth, Japan has assumed the role of third largest economy in the world this quarter.</p>
<p>China still lags behind the U.S. who recorded a $14 trillion GDP in 2009. If China’s growth trend continues, experts estimate that China will trump the United States and become the world’s biggest economy as early as 2030.</p>
<p>While Japan’s economy is mature, China’s economy is in still in a massive growth period. China is becoming highly urbanized and is far from fully developed. While this lack of development yields a lower standard of living, it also provides ample room for economic growth. In fact, a mere five years ago, China’s $2.3 trillion GDP was only half of Japan’s. While the E.U. and U.S. continue to struggle in the midst of the current economic recession, China has continued to flourish, investing heavily in domestic infrastructure and natural resources such as oil, ore, coal and iron.</p>
<p>Despite having an economy 1/3 the size of the U.S., China recently surpassed the U.S. to become the world’s largest market for passenger vehicles. China also passed Germany to become the world’s largest exporter last year. Major international corporations such as GE, GM and Seimans are making a strong push to expand into China.  There are negative consequences, however, to China’s rapid economic growth. In 2006, China became the world’s largest producer of greenhouse gasses which are linked to global warming. China also continues to have a low per capita income of about $3,600- comparable to impoverished nations like Algeria and El Salvador. Although the rapid growth in China has begun to moderate, China’s economy is still expected to grow about 10% this year.</p>

The IPO is the largest U.S. IPO from China this year, as well as the biggest IPO of an outsourcing Chinese IT company ever. </p>
<p class="MsoNormal"><strong>Shearman &amp; Sterling LLP</strong>, led by firm partners Matthew Bersani and Russell Sacks, has been involved in a deal that represents the first U.S. IPO by an Indian company since 2006. The firm advised the underwriters, <strong>Morgan Stanley &amp; Co. International plc</strong>, with regard to the NASDAQ listing and the US$70 million IPO of ordinary shares of <strong>MakeMyTrip Limited</strong>. MakeMyTrip Limited is a subsidiary of <strong>MakeMyTrip (India) Private Limited</strong>, which is India&#8217;s largest online travel agency. <span style="font-family: 'Calibri','sans-serif'; font-size: 11pt; mso-fareast-font-family: Calibri; mso-ansi-language: EN-US; mso-fareast-language: EN-US; mso-bidi-language: AR-SA; mso-fareast-theme-font: minor-latin; mso-bidi-font-family: &quot;Times New Roman&quot;; mso-bidi-theme-font: minor-bidi;"><br style="mso-special-character: line-break" /></span></p>
<p><strong>Jincheng Tongda &amp; Neal (JT&amp;N) </strong>counseled on <strong>Camelot Information Systems, Inc.</strong>&#8217;s New York Stock Exchange US$150 million IPO and American depository shares offering, making it the largest U.S. IPO transaction from a P.R.C. company in 2010. JT&amp;N is the long-term legal counsel for Camelot, a Chinese company that installs and maintains business-management software mostly in China, Taiwan and Japan, and has advised on the company&#8217;s daily corporate legal needs, including contractual reviews. The firm&#8217;s off-shore listing practice is led <span style="font-family: 'Calibri','sans-serif'; font-size: 11pt; mso-fareast-font-family: Calibri; mso-ansi-language: EN-US; mso-fareast-language: EN-US; mso-bidi-language: AR-SA; mso-fareast-theme-font: minor-latin; mso-bidi-font-family: &quot;Times New Roman&quot;; mso-bidi-theme-font: minor-bidi;">by senior partners Stephen Peng and Shao Guozhong, along with the lead partner on the transaction, Tian Bin.</span></p>
<p><strong>Clifford Chance</strong>, led by firm partner Joan Janssen, advised <strong>CapitaMalls Asia Limited</strong> in its US$244 million IPO of <strong>CapitaMalls Malaysia Trust</strong> (CMMT) real estate investment trust on Bursa Malaysia Securities Berhad. CMMT is the biggest &#8220;pure-play&#8221; shopping mall REIT in Malaysia by market capitalization and property value, and has been spun off from the Singapore-listed <strong>CapitaMalls Asia</strong>.</p>
<p><strong>Davis Polk &amp; Wardwell LLP</strong> has counseled <strong>JP Morgan Securities Ltd</strong>, <strong>ING Bank NV London Branch</strong>,<span style="font-family: Calibri; font-size: small;"> <strong>Société Générale</strong> and <strong>The Royal Bank of Scotland plc</strong> in regard to the Rule 144A/Regulation S global offering by <strong>Noble Group Limited</strong> of US$500 million aggregated principal amount of 4.875% senior notes due 2015, and US$250 million aggregate principal amount of 6.625% senior notes due 2020. Noble Group Limited was advised in this matter by Clifford Chance.</span></p>
<p><strong>Davis Polk &amp; Wardell LLP </strong>has also advised <strong>The Hongkong and Shanghai Banking Corporation Limited</strong>, <strong>Morgan Stanley &amp; Co. International plc</strong> and <strong>Standard Chartered Bank</strong> as purchasers in the US$500 million Regulation S offering of 9.65% high-yield notes due 2017 by <strong>Shimao Property Holdings Limited</strong>, a large-scale owner and developer of hig-quality real estate projects in China.</p>
<p><strong>DLA Piper </strong>has counseled a consortium comprising of <strong>Cheung Kong Infrastructure Holdings Limited (CKI)</strong>, <strong>Hong Kong Electric Holdings Limited</strong> <strong>(HEI)</strong> and the <strong>Li Ka Shing Foundation </strong>in the US$9 billion acquisition of <strong>EDF</strong>&#8217;s U.K. electricity distribution assets. The acquired assets include three low-voltage electricity distribution networks in England and long-term contracts with businesses for the construction and maintenance of electricity distribution infrastructure. As CKI holds a 39% stake in HEI, the two companies will work together to run EDF Networks.</p>
<p><strong>Herbert Smith, </strong>in conjunction with its associate firm <strong>Hiswara Bunjamin &amp; Tandjung</strong>, has advised <strong>Kangean Energy Indonesia (KEI),</strong> a leading Indonesian oil and gas production company, on its US$875 million, 10-year charter contract (with additional options of up to four years) with <strong>BW Offshore</strong>. The deal is centered on the floating production unit to operate on the Terang Sirasun Batur gas fields in Indonesia, with gas production beginning in early 2012.</p>

Dixon’s tax experience includes an expertise in stamp duty and transfer pricing in regards to advising Australian and international clients on Australian tax law. He earned his Bachelors of Commerce and Law from the University of South Wales. He also holds a Master of Laws degree from the University of Sidney and is a Fellow of the Taxation Institute of Australia.</p>
<p>Experienced corporate partner and financial regulator, Bonnie YT Yang has joined Davis Polk &amp; Wardell LLP. She is a valuable addition to the firm’s securities practice as the firm continues to build its Hong Kong practice. Before joining Davis Polk, Yang served as senior VP of HKSE’s Listing Division where she led the IPO Transactions Department. Prior to her work at the HKSE, she was executive director of the Legal Compliance Department of Morgan Stanley Hong Kong. She has also worked at Deutsche Bank where she was responsible for equity transactions in Asia. Early in her career, she worked at several law firms including Sullivan &amp; Cromwell Hong Kong and New York and Skadden Arps. She is fluent in English, Mandarin and Cantonese.</p>
<p>Anthony Dapiran also joins Davis Polk as a partner in their Hong Kong office. He was formerly the managing partner at Freshfield’s Beijing office. Dapiran specializes in advising complex IPOs in the China market as well as both inbound and outbound M&amp;A and PE transactions. Recent notable transactions include the Agricultural Bank of China’s US$22 billion IPO. He serves as counsel to a number of Fortune China 100 companies on regulatory, compliance and corporate matters. Dapiran is fluent in both Mandarin and English.</p>

<p><strong>K&amp;L Gates </strong>has bolstered its corproate practice by adding W Rose Zhu to its Beijing office. Zhu, who is leaving <strong>Allen &amp; Overy LLP</strong>, recently led the team that advised on the global offering of common shares by the Agricultural Bank of China Limited, the world&#8217;s largest IPO in 2010. Zhu possesses extensive experience throughout the United States, Hong KOng and China, advising both international and Chinese companies in capital markets, mergers &amp; acquisitions and financings. Zhu, a P.R.C. native, has led many pioneering and high-profile transactions, while also regularly counseling a number of leading P.R.C. institutions and regulators. </p>
<p><strong>Mayer Brown JSM </strong>has further strengthened its Asia practice by adding Jason Elder to the Hong Kong office&#8217;s capital markets practice, and hiring Xiang Yang Ge as head of projects in the Beijing office. Elder, who is leaving <strong>Sidley</strong>&#8217;s Hong Kong office, possesses substantial experience in advising issuers and underwriters on capital markets transactions, particularly global debt and equity securities offerings. Xiang Yang, formerly a partner at <strong>Winston &amp; Strawn</strong>, has over twenty years of experience advising clients investing into China, as well as Chinese corporations on outbound investments. The addition of Elder is the latest sign of the firm&#8217;s commitment to expand its capital markets practice around the world, as the firm&#8217;s New York office made three partner hires earlier this years.</p>
<p><strong>Davis Polk &amp; Wardwell </strong>has established a domestic law practice in Hong Kong by adding Bonnie YT Chan and Antony Dapiran as partners. Chan, formerly the senior vice president of the listing division of the <strong>Hong Kong Stock Exchange</strong>, has previous work experience as the executive director of the legal and compliance department of <strong>Morgan Stanley</strong>&#8217;s Hong Kong office. Dapiran is leaving <strong>Freshfields Bruckhaus Deringer</strong>&#8217;s Beijing office, where he was a managing partner. The firm hopes the new additions will help launch the firm&#8217;s local practice, which is focused on giving the firm&#8217;s clients a broader service in Hong Kong, especially in capital markets and mergers &amp; acquisitions matters.</p>
<p>Lan Hing Liew has joined <strong>Baker &amp; McKenzie.Wong &amp; Leow</strong>&#8217;s corporate &amp; securities practice in Singapore as a partner. Liew, formerly an equity partner at <strong>Rajah &amp; Tann LLP</strong>, has considerable legal experience handling capital markets transactions, mergers &amp; acquisitions deals, and listing companies&#8217; corporate actions and regulatory compliance in Singapore. Her practice concentrates on listings and IPOs, as well as secondary fund-raising transactions, including share placements, rights issues and bond issues.</p>
